Affiliate Programme Terms & Conditions

The German version of these terms is legally binding. This English translation is provided for convenience only.

1. Operator & Scope

These Affiliate Programme Terms & Conditions ("Affiliate Terms") govern participation in the RCONductor Affiliate Programme ("Programme") operated by:

By participating in the Programme you agree to these Affiliate Terms in addition to the general Terms of Service and Privacy Policy.

2. Participation & Approval

  • Participation in the Programme is by invitation only. Gonzi Tech reserves the right to accept or reject applications at its sole discretion without stating reasons.
  • Each affiliate receives a personal referral code ("Code") and an individual commission rate upon approval.
  • The Code is non-transferable. Only the registered affiliate may use and promote the Code.
  • Affiliates must be at least 18 years old and, if applicable, hold a valid business registration.

3. When a Referral Counts as Valid

A referral is only counted as valid when all of the following conditions are met:

  1. A new customer subscribes to a paid plan using the affiliate's Code.
  2. A Stripe invoice.payment_succeeded event has been processed for the subscription (i.e. the customer has actually paid).
  3. The statutory withdrawal period (14 calendar days from the date of contract formation per § 356 BGB in conjunction with § 312g BGB) has expired without the customer exercising their right of withdrawal.
  4. No chargeback, dispute, or full refund has been issued for the corresponding invoice within 45 calendar days of payment ("Qualifying Period").

Free trials, incomplete checkout sessions, and unpaid invoices do not generate commission.

4. Commission Calculation

  • The commission percentage is set individually per affiliate upon approval and communicated in writing (email or Discord).
  • The commission base is the net invoice amount after deduction of any discounts (including the affiliate discount itself). Formula: floor(netCents × affiliatePercent / 100).
  • Recurring commission: As long as the customer's subscription retains the affiliate promotion code, commission is earned on each successful renewal payment, subject to the same qualifying conditions described in Section 3.
  • Gonzi Tech reserves the right to adjust commission rates for future referrals with 30 days' written notice. Existing, already-qualified referrals are not affected.

5. Clawback & Reversals

Commission that has been credited is subject to reversal ("Clawback") if, within 45 days of the original payment:

  • The customer obtains a full or partial refund;
  • A chargeback or payment dispute is filed;
  • The customer exercises their statutory right of withdrawal (§ 355 BGB).

In the event of a Clawback, the corresponding commission amount is deducted from the affiliate's balance. If the balance is insufficient, the amount is offset against future earnings.

6. Payouts

  • Minimum payout threshold: €25.00. There is no entitlement to payout until the balance reaches this threshold. Balances below the threshold remain credited to the account but are not payable.
  • Payout methods: PayPal or bank transfer (SEPA).
  • Payouts are processed manually after the affiliate submits a payout request via the Affiliate Dashboard. Gonzi Tech aims to process approved requests within 14 business days.
  • Only one payout request may be pending at any time.
  • Payouts are made net of any applicable transaction fees (e.g. PayPal fees). Bank transfers within SEPA are free of additional charge.
  • The affiliate is solely responsible for the accuracy of the provided payment details. Gonzi Tech accepts no liability for payouts sent to incorrect details provided by the affiliate.
  • Inactivity: If the affiliate's balance remains below the minimum payout threshold for 24 consecutive months without any new qualified referral, the balance expires and is forfeited. The affiliate will be notified by email at least 30 days before forfeiture.

7. Tax Obligations

Commission payments constitute taxable income. The affiliate is solely responsible for:

  • Declaring and paying all applicable taxes (income tax, VAT/USt if applicable) in their country of residence;
  • Issuing invoices to Gonzi Tech where required by law (e.g. reverse-charge for EU B2B);
  • Complying with any local small business regulations (Kleinunternehmerregelung § 19 UStG, if applicable).

Gonzi Tech may request a valid VAT ID or tax identification number before processing payouts.

8. Prohibited Practices

The following activities are strictly prohibited and will result in immediate termination and forfeiture of all unpaid commissions:

  • Self-referral: Using your own Code for your own subscriptions or those of entities you control.
  • Spam & unsolicited messages: Mass-messaging, unsolicited DMs (Discord, email, etc.), or any promotion that violates applicable anti-spam laws (e.g. UWG § 7, CAN-SPAM).
  • Misleading advertising: False claims about RCONductor's features, pricing, or capabilities; impersonating Gonzi Tech staff.
  • Cookie stuffing / forced clicks: Techniques that set the affiliate cookie without genuine user intent (hidden iframes, forced redirects, browser extensions).
  • Paid brand bidding: Purchasing ads on "RCONductor", "rconductor", or confusingly similar keywords without prior written approval.
  • Incentivised signups: Offering monetary rewards, gift cards, or other incentives solely for signing up (as opposed to genuine product recommendations).
  • Multiple accounts: Operating more than one affiliate account or Code without explicit written permission.

9. Duration & Termination

  • The affiliate relationship is established for an indefinite period and may be terminated by either party at any time with 14 days' written notice (email to kontakt@gonzi.tech or via the Affiliate Dashboard).
  • Gonzi Tech may terminate immediately for cause, in particular for violations of Section 8.
  • Upon termination, the Code is deactivated immediately. Commission already qualified under Section 3 remains payable, subject to the Clawback rules in Section 5. Unqualified (pending) commissions are forfeited.
  • Gonzi Tech reserves the right to discontinue the Programme entirely with 60 days' notice. Already-qualified commissions remain unaffected.

10. Liability

  • Gonzi Tech's liability is limited to intent and gross negligence in accordance with the applicable provisions of German law.
  • The affiliate acknowledges that the Programme's commission tracking depends on Stripe webhooks and cookie-based attribution. Gonzi Tech is not liable for technical attribution errors outside its control (e.g. customer disabling cookies, Stripe outages).

11. Data Protection

Affiliate personal data (name, email, payment details) is processed in accordance with our Privacy Policy on the basis of Art. 6 (1) (b) GDPR (contract performance). Data is retained for the duration of the affiliate relationship and for 3 years thereafter for accounting and legal purposes (§ 195 BGB). Upon termination, identifying data is anonymised; only aggregated revenue figures required for tax purposes are retained.

12. Amendments

Gonzi Tech may amend these Affiliate Terms with 30 days' advance written notice. Continued participation after the notice period constitutes acceptance of the amended terms. If the affiliate objects within the notice period, the affiliate relationship terminates at the end of the notice period.

13. Governing Law & Jurisdiction

These Affiliate Terms are governed by German law. Place of jurisdiction for all disputes arising from these Affiliate Terms is Frankfurt am Main, Germany, to the extent permitted by law.

14. Severability

If any provision of these Affiliate Terms is or becomes invalid, the remaining provisions remain unaffected. The invalid provision shall be replaced by a valid provision that comes closest to the economic purpose of the invalid provision.
